Committee Name

The name of this committee is the Quarry Committee of the Pt. San Pedro Road Coalition (“Quarry Committee”).

Board Has Exclusive Authority over Quarry Committee

The Board of Directors of the Pt. San Pedro Road Coalition (the “Coalition Board”) has exclusive authority to:

  • establish, maintain and terminate the Quarry Committee,
  • appoint and terminate all members of the Quarry Executive Committee, and
  • adopt, amend and terminate these procedures.

The Quarry Committee shall comply with these procedures.

Quarry Committee Formation and Maintenance

The Quarry Committee is made up of members of the Pt. San Pedro peninsula community concerned about the impact to residents and visitors to the area from operations of the San Rafael Rock Quarry. The leadership of the committee, or Quarry Executive Committee, shall include at least one member of the Coalition Board and such other individuals who agree to accept appointment by the Coalition Board, and shall have exclusive discretionary authority to act on behalf of the Quarry Committee. One or more vacancies on the Quarry Executive Committee shall not inhibit its power to perform its duties, provided the Quarry Executive Committee is composed of at least two individuals, one of whom is a Coalition Board member. The Coalition Board shall appoint one or more of the members of the Quarry Executive Committee to act as Chair. The Chair shall be principally responsible for organizing meetings of the Quarry Committee and communicating to the Coalition Board. The Quarry Executive Committee has authority to allow individuals to serve on the Quarry Committee.

A member of the Quarry Executive Committee may resign his or her appointment at any time with reasonable notice to the Coalition Board president or a Quarry Executive Committee member. Resignation is made to the Chair with a copy to the President of the Coalition Board (or solely to the President of the Coalition Board in the case of the Chair’s resignation).

Purpose and Authority of Quarry Committee

The purpose of the Quarry Committee is to address, on behalf of the Coalition Board, all issues associated with the San Rafael Rock Quarry that are properly within the scope of matters addressable by the Pt. San Pedro Road Coalition so that the full Coalition Board can make informed decisions regarding Quarry matters. As a large-scale industrial mining operation on the Pt. San Pedro waterfront, the San Rafael Rock Quarry significantly impacts the Pt. San Pedro Road residential community, students at schools along the roadway, as well as visitors to the public park next to the quarry.  The Coalition, primarily through the work of the Quarry Committee, thus undertakes the task of understanding, monitoring, reporting and influencing Quarry operations, as appropriate.

The Quarry Committee has no authority to take official action on behalf of the Coalition that is material in nature and implicates general matters of policy. Any such action to be taken by the Quarry Committee requires advance approval of the Coalition Board. The Committee Chair or Vice-Chair, or their representative, shall report any proposed Committee action to the Coalition Board in a timely manner.

The Quarry Committee has authority to implement action taken by the Coalition Board, to the extent consistent therewith, and to exercise its own discretion on non-material and administrative matters.

Quarry Committee Duties

Among the responsibilities of the Quarry Committee are the following:

  1. Evaluate the consequences of permit changes proposed by the Quarry.
  2. Monitor general compliance with existing permit and law.
  3. Deal with Coalition counsel on all Quarry-related legal matters.
  4. Communicate with Quarry officials on day-to-day matters, as appropriate.
  5. Inform the Coalition Board of emerging and ongoing Quarry issues.
  6. Represent the Coalition on Quarry matters in County and City proceedings.
  7. Update Quarry material on the Coalition website.

Quarry Committee Governance

The Quarry Committee will meet from time to time as necessary, telephonically or in person. Actions taken by the Quarry Executive Committee shall be determined by consensus, with a formal vote taken only when requested by a member. Actions taken shall be communicated to the Coalition Board at the next Coalition Board meeting, or earlier by email if necessary. A quorum of the Quarry Executive Committee (which shall be any number more than half of its members) is not necessary for taking action unless the Chair is not present at the meeting. If the Chair is not present at a meeting of the Quarry Executive Committee where a quorum is present, any action taken shall be ineffective until communicated to the Chair. Any member of the Quarry Executive Committee may take nondiscretionary administrative action on behalf of the Quarry Committee, and any member of the Quarry Committee may take nondiscretionary administrative action at the direction of the Quarry Executive Committee.
